Contribution License Agreement

This Contribution License Agreement ("Agreement") is agreed to by the Entity or Individual signing below ("Party"). This agreement describes the license rights to Lernolibro LLC and its affiliates ("Lernolibro") for Party's contributions to Lernolibro open-source projects, including Mastering Monero and the monerobook repository. It is effective as of the latest signature provided by the Party.

  1. Definitions

"Contributions" mean the computer software code, written content, or submitted content by pull request, merge request, or any other method of submission to Lernolibro from Party under this Agreement.

"Project" means any of the projects owned or managed by Lernolibro in which Lernolibro offers this content under a Create Commons or similar license (https://creativecommons.org/licenses).

  1. Party's Submission. Party must agree to the terms of this Agreement before making Contributions to any Project. This Agreement covers any and all Contributions that Party, now or in the future. If Party makes a Contribution before this Agreement is signed and the Contribution is not accepted, Lernolibro may require for the Party to sign or otherwise indicate agreeement of the Agreement before the Contributions are accepted or considered.

  2. Originality of Work. Party represents that their Contributions are entirely their own original work. Party must indicate all applicable licenses and other Parties with ownership or license to the Contributions should they exist, and Party assumes liability for wrongly submitting content that is owned or licensed, in full or in part, by other Parties. This coud include the Party's employer in the case that Contributions are submitted on behalf of an employer.

  3. Change of Representation or Employment. If Party submits content on behalf of another Entity, whether in entirety or jointly as an individual and the Entity, Party must sign another agreement and secure permission from the employer before making Contributions.

  4. Licenses.

a. Copyright License. Party grants Lernolibro, and all those who receive the Contributions directly or indirectly from Lenrolibro, a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license in the Contributions to reproduce, prepare derivative works of, publicly display, publicly perform, and distribute the Contributions and such derivative works, and to sublicense any or all of the foregoing rights to third parties.

b. Patent License. Party grants Lernolibro, and those who receive the Contributions directly or indirectly from Lernolibro, a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license under Party's patent claims that are necessarily infringed by the Contributions or the combination of the Contributions with the Project to which it was submitted to make, have made, use, offer to sell, sell and import or otherwise dispose of the Contributions alone or with the Project.

c. Other Rights Reserved. Each party (including the Party) reserves all rights not expressly granted in this Agreement. No additional licenses or rights whatsoever (including, without limitation, any implied licenses) are granted by implication, exhaustion, estoppel or otherwise.

  1. Representations and Warranties. Party represents that Party is legally entitled to grant the above licenses. Party represent that each of Party's Contributions is entirely Party's original work (except as Party may have disclosed under Section 3). Party represents that Party has secured permission from Party's employer to make the Contributions in cases where Party's Contributions are made in the course of Party's work for Party's employer or Party's employer has intellectual property rights in Party's Contributions by contract or applicable law. If Party is signing this Agreement on behalf of Party's employer, Party represents and warrants that Party has the necessary authority to bind the listed employer to the obligations contained in this Agreement. Party is not expected to provide support for Party's Contributions, unless Party chooses to do so. UNLESS REQUIRED BY APPLICABLE LAW OR AGREED TO IN WRITING, AND EXCEPT FOR THE WARRANTIES EXPRESSLY STATED IN SECTIONS 3, 4, AND 6, THE SUBMISSION PROVIDED UNDER THIS AGREEMENT IS PROVIDED WITHOUT WARRANTY OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF NONINFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

  2. Notice to Lernolibro. Party agrees to notify Lernolibro in writing of any facts or circumstances of which Party later becomes aware that would make Party's representations in this Agreement inaccurate in any respect.

  3. Information about Submissions. Party agrees that contributions to Projects and information about contributions may be maintained indefinitely and disclosed publicly, including Party's name and other information that Party submits with Party's Contributions (eg: GitHub or Reddit name).

  4. Governing Law/Jurisdiction. This Agreement is governed by the laws of the State of Wyoming, and the parties consent to exclusive jurisdiction and venue in the federal courts sitting in Sheridan County, Wyoming, unless no federal subject matter jurisdiction exists, in which case the parties consent to exclusive jurisdiction and venue in the Superior Court of Sheridan County, Washington. The parties waive all defenses of lack of personal jurisdiction and forum non-conveniens.

  5. Entire Agreement/Assignment. This Agreement is the entire agreement between the parties, and supersedes any and all prior agreements, understandings or communications, written or oral, between the parties relating to the subject matter hereof. This Agreement may be assigned by Lernolibro.
