What is the Project Steering Board

The Project Steering Board (PSB) is responsible for deciding the direction in which Syndesis evolves in order to ensure sustainability of the project.

Syndesis PSB is a steering group, a not a management group. This means that the PSB’s job is to decide about guidelines, schedules and major changes. The implementation of those decisions are done by community members.

It is important to note that the PSB is not a legal entity.

Responsibilities

The PSB will vote and decide major changes in the project. Including, but not restricted to, the following topics:

  • Roadmap and release schedule
  • Changes that break backwards compatibility
  • Develop technical standards and policies
  • The PSB has the right to veto any proposed development efforts
  • Formalize affiliations with external entities

Meetings

The members of the PSB will meet on-line on a public channel on the frequency they decide. All members of the community are invited to this meeting, although they will not have voting rights. Voting results will be open for the Community.

Time, date and channel for the meeting will be decided by the PSB themself.

Who is part of the PSB

The PSB is made up of high-level stakeholders who have Syndesis success at heart. All of its members will act in the best interests of the project.

PSB is recommended to have an odd number of members (to prevent ties in voting situations) and always at least 5 members.

How to join

Existing PSB members may vote on new members. Nominees must receive a majority vote from existing members to be added to the PSB. Any member of the community can nominate a person for the PSB.

How to resign

The PSB seats are non-expiring. If for any reason a PSB member is not able to fully participate, then they may resign their position.

If a member is not active on its PSB responsibilities for a period of six months then the PSB reserves the right to remove that member via a motion and a majority vote.

Any member can be asked to vacate their seat after a unanimous vote of no confidence from the remaining PSB members. This is an extreme measure for cases when the PSB member is not acting in the best interest of the project.

Voting

All the PSB member have the equal right to vote. In case of tie, the Chair will resolve the voting.

There are four possible votes:

  • +1 I agree with the decision and will become involve on its implementation
  • +0 I agree with the decision but can't become involve on its implementation
  • -0 I neither agree nor disagree with the decision, but don't want to block it
  • -1 Veto this decision

A motion is passed when the sum of all votes is equal or greater than zero.

Veto

The veto voting has to come always with an alternative option or argumentation on the initial proposal to be valid. If no alternative option or argumentation is offered by the person voting -1 within one month, that vote will become a -0 and the veto will be removed.

If after the veto is removed the previous voting results have no other veto, the decision will be automatically accepted.
